Job Summary
The Corporate Secretarial Assistant will report directly to the Corporate Secretarial Manager and will be responsible for supporting corporate governance and compliance matters for our Group of Companies, as well as clients account. Key responsibilities include maintaining statutory records, preparing board resolutions and filings, and ensuring compliance with regulatory requirements across all entities.
The ideal candidate should demonstrate a keen interest in corporate secretarial work, possess strong organizational skills, and be capable of handling time-sensitive responsibilities. This role involves liaising with various departments and external stakeholders to ensure adherence to the Singapore Companies Act and internal governance policies.
Duties & Responsibilities
Process incorporation of companies and handle other corporate secretarial matters such as striking off, share transfers, and changes in officers.
Prepare and file statutory documents for the company, ensuring compliance with relevant regulations set by ACRA in Singapore.
Maintain and regularly update statutory registers, minute books, and other corporate records in compliance with regulatory requirements.
Draft standard resolutions, meeting minutes, and correspondences for client companies.
Lodgement of documents with ACRA/ MOM and other governmental authorities and/or departments related to corporate services work.
To track and monitor deadlines and requirements to ensure adherence to statutory and regulatory obligations.
Assist in KYC/due diligence procedures in accordance with internal policies.
Respond to client inquiries, to address client queries and concerns through email and/or other mode of communication(s).
Perform any other additional responsibilities and/ or ad-hoc duties as assigned as assigned by the various head(s) of departments from time to time.
Requirements
Minimum 1 year of working experience in the related field;
Diploma or higher qualification in Business, Law, or a related discipline;
ICSA/SAICSA qualification is a plus;
Proficiency in Mandarin as liaison with clients from Mainland China is required;
Familiarity with the Singapore Companies Act and corporate compliance requirements will be a plus;
Good verbal and written communication skills in English and Mandarin to effectively communicate with Mandarin-speaking clients;
Able to work independently as well as a Team;
Meticulous, well-organised and good interpersonal skill with positive attitude;
Able to meet tight deadlines in fast-paced work environment.
